These Terms of Attendance apply to any event, forum, gathering, workshop or other program organized by or on behalf of Energetic Events, Inc. dba PowerStack (“PowerStack,” “we,” “us” or “our”). Each such program is an “Event.” By registering for, requesting admission to, accepting an invitation to, or attending an Event, you agree to these Terms. If you register another person, you represent that you are authorized to do so and that the attendee has been made aware of these Terms.

1. Registration and Admittance

Registration or submission of an attendance request does not guarantee admission. PowerStack may approve or decline attendance requests in its discretion, including where an Event is invitation-only, curated or capacity-limited.

Your approved registration entitles you only to admission to the applicable Event. Unless PowerStack expressly states otherwise, travel, accommodation and other costs associated with attendance are your responsibility.

An invitation to a PowerStack gathering or pavilion does not itself provide admission to a separately organized conference or show. For the PowerStack Pavilion at HumanX, any required HumanX registration, ticket and venue conditions apply separately. Confirm the access requirements in your event confirmation before arranging travel.

Registrations, invitations and credentials are personal to the approved attendee and may not be transferred, sold or shared without PowerStack's prior approval.

Follow the check-in instructions supplied for your Event. Where required for access or security, bring matching identification, display your issued credential and comply with venue safety rules. Do not share or duplicate badges or access codes.

2. Event Changes

PowerStack may change any aspect of an Event, including its program, format, speakers, moderators, venue, timing, capacity or content. PowerStack may postpone, relocate or cancel an Event where reasonably necessary, including because of circumstances outside its control.

Check the event page and registration communications for updates. If a paid Event changes or is cancelled, any applicable refund or credit is governed by the policy disclosed when you registered and your rights under applicable law; these Terms do not create a blanket no-refund rule.

3. Conduct

Attendees are expected to behave professionally and respectfully. PowerStack may refuse admission or remove any person whose conduct is disruptive, unsafe, inappropriate, harassing, discriminatory or otherwise inconsistent with the professional environment of the Event.

Scraping, harvesting or collecting attendee information for unsolicited outreach, spam or unauthorized promotional activity is prohibited.

4. Photography, Recording and Use of Likeness

Unless PowerStack states otherwise for a particular session, attendees may not make audio or video recordings of programmed sessions without prior permission.

By attending an Event, you acknowledge that PowerStack and its authorized partners may photograph, film or otherwise record the Event. To the extent permitted by law, you grant PowerStack the right to use your image, voice and likeness captured in connection with the Event for editorial, archival, promotional and marketing purposes without further approval or compensation.

If you have a specific concern regarding photography or recording, please contact PowerStack before the Event.

Any announced restriction for an off-the-record or confidential session applies to photography and recording as well as discussion of its content. Permission to attend is not permission to record other participants privately.

5. Event Content and Intellectual Property

Event content and materials may be owned by PowerStack, speakers, sponsors, partners or other licensors. Attendance does not grant you ownership of or a license to reproduce, distribute, commercially exploit or create derivative works from Event content, recordings, trademarks or materials except as expressly permitted.

You may discuss ideas and insights from the Event in the ordinary course, subject to any confidentiality, off-the-record or Chatham House Rule instructions communicated for a particular session.

6. Fees, Cancellations and Substitutions

Some PowerStack Events may be complimentary and others may require payment. Any applicable fees, taxes, cancellation rules, refund rules or substitution rights will be disclosed during registration or in the applicable Event materials.

For complimentary, approval-based Events, there is no attendee fee to refund. If you can no longer attend, please notify PowerStack promptly so that your place may be offered to another participant.

The currently listed Nest gathering is complimentary and subject to approval. A request through our Contact form is an application for a place, not an admission confirmation. Follow the cancellation instructions in your confirmation or use our Contact form if you cannot attend. Future shows may have different terms stated at registration.

7. Privacy

Personal information associated with registration and attendance is handled in accordance with the PowerStack Privacy Policy. If you voluntarily provide information to a third party at an Event or use a third-party event platform, that third party may process your information under its own privacy terms.

If badge scanning is offered, choose whether to let a sponsor or exhibitor scan your badge. A voluntary scan may share the contact details identified at that point with that organization under its own privacy notice. Attendance alone does not authorize unrelated sponsor marketing.

8. Disclaimer and Limitation of Liability

Events and Event content are provided for informational and networking purposes. PowerStack does not warrant the accuracy, completeness or suitability of statements, opinions, presentations or materials provided by speakers, participants or third parties.

Discussions about energy, capital, infrastructure or technology are general information, not individualized financial, investment, legal or engineering advice. Evaluate statements independently and seek advice appropriate to your circumstances before acting on them.

To the fullest extent permitted by law, PowerStack will not be liable for indirect, incidental, special, consequential or punitive damages arising from or related to an Event. To the extent liability cannot be excluded, PowerStack's aggregate liability relating to an Event will not exceed the amount you paid PowerStack for attendance at that Event, or $100 if the Event was complimentary, except where a different limitation is required by law.

9. Force Majeure

PowerStack is not responsible for failure or delay in performing obligations caused by events beyond its reasonable control, including severe weather, natural disasters, public health emergencies, acts of government, labor disputes, venue closures, transportation disruptions, utility or network failures, civil disturbance or similar events.

10. General

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. These Terms, together with any Event-specific terms communicated to you, constitute the agreement relating to your attendance.

These Terms and disputes arising out of or relating to these Terms or an Event or your participation in an Event are governed by the laws of the State of New York, without regard to its conflict-of-law rules, except to the extent applicable law requires otherwise.

Except where applicable law requires a different forum, any legal action arising out of or relating to these Terms or an Event or your participation in an Event must be brought in a state or federal court located in New York County, New York, that has subject-matter jurisdiction. You and PowerStack consent to the personal jurisdiction of those courts for such actions.

Nothing in this section limits any nonwaivable consumer rights or prevents either party from bringing an eligible claim in a small claims court of competent jurisdiction.
