These Terms of Service (“Terms”) govern access to and use of www.gopowerstack.com and any related webpages, forms, digital services or features operated by Energetic Events, Inc. dba PowerStack (“PowerStack,” “we,” “us,” or “our”) (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.
1. Changes to These Terms
We may update these Terms from time to time. The current version will be posted on the Site with the date it was last updated. Your continued use of the Service after an updated version becomes effective constitutes acceptance of the revised Terms to the extent permitted by law.
2. Privacy and Additional Terms
Our Privacy Policy describes how we collect, use and disclose personal information. Participation in a PowerStack event is also subject to our Terms of Attendance and any additional Event-specific terms disclosed during registration.
These Terms govern the PowerStack website. Our Terms of Attendance govern participation in our Events. A third-party conference, venue or registration provider may require its own agreement; using this website does not grant admission to those services or events.
3. Use of the Service
The Service is designed to provide information about PowerStack, its events and activities; allow users to contact us, subscribe to communications, request or complete event registration, and access other features we may make available.
You agree to provide accurate and current information when submitting forms or registrations and to update information where reasonably necessary.
Submitting an inquiry does not create a sponsorship, partnership or speaking agreement. Event attendance remains subject to any approval process shown on the event page. Newsletter signup is separate from event registration and does not reserve a place.
4. Eligibility
The Service is not intended for children under 13. If you are under the age of legal majority where you live, you may use the Service only with the involvement and approval of a parent or legal guardian where required by law.
5. Acceptable Use
You may not use the Service to:
Violate any applicable law or regulation.
Infringe the intellectual property, privacy or other rights of another person.
Transmit malware, harmful code or material designed to interfere with the Service.
Attempt to gain unauthorized access to the Service, accounts, systems or networks.
Scrape, harvest or collect personal information or contact details for unsolicited outreach.
Impersonate another person or misrepresent your affiliation with an organization.
Use automated means to access the Service in a manner that creates unreasonable load or circumvents technical restrictions.
Use the Service for unlawful, fraudulent, abusive, harassing or deceptive activity.
We may suspend or restrict access where we reasonably believe these Terms have been violated or where necessary to protect the Service, PowerStack or others.
6. Intellectual Property
The Service, including its design, text, graphics, branding, logos, photographs, videos and other content provided by PowerStack, is owned by or licensed to PowerStack and is protected by applicable intellectual property laws.
Subject to these Terms, PowerStack grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purposes. No other rights are granted.
PowerStack and related names, marks and branding may not be used without prior written permission.
7. User Submissions
If you submit messages, applications, inquiries, feedback or other content through the Service, you represent that you have the right to provide that content and that doing so does not violate the rights of another person.
You retain ownership of content you submit. You grant PowerStack a non-exclusive right to use, reproduce and process that content as reasonably necessary to respond to you, provide the Service, administer events and operate our business in accordance with our Privacy Policy.
8. Third-Party Services and Links
The Service may link to or integrate with third-party websites, registration platforms, event technology, social networks or other services. PowerStack does not control and is not responsible for third-party services, their availability, content, security or privacy practices. Your use of a third-party service is subject to that provider's terms and policies.
Nest attendance requests are submitted through our Contact form and are subject to approval. For events that require separate registration with a partner organizer, review the terms presented by that organizer before submitting a request or payment. Displaying a speaker, sponsor or partner on this Site does not make PowerStack responsible for that party’s independent products or statements.
9. Modifications and Availability
We may modify, suspend or discontinue any part of the Service at any time. We do not guarantee that the Service will always be available, uninterrupted, secure or error-free.
10. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” POWERSTACK DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
POWERSTACK DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT INFORMATION AVAILABLE THROUGH THE SERVICE WILL ALWAYS BE COMPLETE, ACCURATE, CURRENT, SECURE OR ERROR-FREE.
Content about energy, infrastructure, technology and capital is general information. It is not a recommendation to make a particular investment or a substitute for professional advice tailored to your circumstances.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, POWERSTACK AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE OR DATA, ARISING FROM OR RELATED TO THE SERVICE.
TO THE FULLEST EXTENT PERMITTED BY LAW, POWERSTACK'S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID POWERSTACK FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE CLAIM OR $100.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
12. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless PowerStack and its affiliates, directors, officers, employees and agents from claims, liabilities, damages, losses and reasonable costs arising from your unlawful use of the Service, your violation of these Terms, or your violation of another person's rights.
13. Governing Law and Disputes
These Terms and disputes arising out of or relating to these Terms or the Service are governed by the laws of the State of New York, without regard to its conflict-of-law rules, except to the extent applicable law requires otherwise.
Except where applicable law requires a different forum, any legal action arising out of or relating to these Terms or the Service must be brought in a state or federal court located in New York County, New York, that has subject-matter jurisdiction. You and PowerStack consent to the personal jurisdiction of those courts for such actions.
Nothing in this section limits any nonwaivable consumer rights or prevents either party from bringing an eligible claim in a small claims court of competent jurisdiction.
14. General
If any provision of these Terms is held invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a corporate transaction or otherwise as permitted by law.
These Terms, together with the Privacy Policy, Terms of Attendance where applicable, and any additional terms expressly presented to you, constitute the agreement between you and PowerStack regarding the Service.
